Terms & Conditions

Please take your time and read the following terms and conditions prior to using our services.

When placing an order with Hydel Media Solutions you agree to the terms and conditions outlined below. We reserve the right to update or change our Terms & Conditions at any time. Your continued use of our services after we post any modifications to the Terms & Conditions will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms & Conditions.

DESIGN

All website accounts require a 50% payment deposit before starting any design and the remaining 50% balance at the time of development. The website content and related materials: written text, graphics, products, examples or information must be delivered to us within 7 days of this contract and as late as 20 days to finalize the development of the website. If required, we can source images, however there’s an additional fee of $5 per photo for this option. Expected completion timeframe on most websites is around 2-6 weeks, however if the content is not provided this may delay completion.

All graphic designs for social media and/or print media marketing require a full payment before starting any design. The design content and related materials: written text or images must be delivered to us within 7 days of this contract and as late as 14 days to finalize the design. If required, we can source images, however there’s an additional fee of $5 per photo for this option. Expected completion timeframe on most graphics are generally 7-14 days, however if the contents are not provided this may delay completion.

All text and images submitted from the client must be free of copyright and Hydel Media Solutions accepts no responsibility for any infringement of copyright law arising from any text or images used on your site. Once your website is launched, Hydel Media Solutions does not accept the responsibility of any copyright infringement/trademark/performance/damages or any legal liability arising because of any reason.

Hydel Media Solutions reserves the right to refuse material which may be deemed offensive, illegal or controversial for websites, graphics and printed medias.

Hydel Media Solutions takes no responsibility of any of the third-party products, software or components used in the website development such as payment gateway, SSL certificates etc. We take regular daily, weekly or monthly backups for security reasons, but we suggest you take regular back-ups to avoid any disruptions, unless you have a paid monthly subscription to us for backing up your website on a daily, weekly or monthly timeframe.

If you are accepting these terms of service on behalf of a corporation or other entity, you represent and warrant that you have the necessary right and authority to enter into these Terms & Conditions on behalf of such corporation or entity and to bind such corporation or entity to these terms of service.

Hydel Media Solutions has an intellectual property right on its designs. Of course, you own your website but in case you choose to use another firm for the maintenance of your website, once we designed the site, that firm will not be allowed to sign our design. Only Hydel Media Solutions is entitled to sign “Website Designed by Hydel Media Solutions”

ON-GOING SERVICES

Website Hosting and Maintenance services are provided by Hydel Media Solutions as part of a monthly fee should you be interested in purchasing. Additional hosting charges may be incurred if the website requires increased hosting specification outside of the original package. Hydel Media Solutions will take extensive measures to ensure that the customer does not experience any disruption of service, we cannot accept liability for disruption of service caused by factors that lie outside of our control.

Website amendments, once the website has been signed off and launched, will be quoted at $75 an hour if you do not have a maintenance package with us. If a website fault occurs as the result of amendments made by the client, a request may be made to Hydel Media Solutions to rectify the fault and will be quoted and billed based upon our standard fees.

CONTRACT DURATION / CANCELLATIONS

Cancellation requests must be made via email to info@hydelmediasolutions.ca. No other avenues of cancellation will be accepted. While no advance notice of cancellation is required, all fees paid for service to the point of cancellation are non-refundable. All fees paid for domain registration are non-refundable, without exception. Account cancellation would result in the complete termination of the website, your website will be held on our servers for 2 months if you decide to renew your website in the future. Account cancellation will result in the complete termination of all continuing website services with Hydel Media Solutions. Hydel Media Solutions reserves the right to terminate website packages at anytime without written notice to its clients.

Your account If your payment fails and payment is not received within 7 regular days your account will be terminated unless you have notified us of any issues, and we have agreed otherwise. Without bearing any liability or assigning any reason whatsoever.

SEARCH ENGINE OPTIMIZATION

Hydel Media Solutions only use ethical optimisation techniques and take no responsibility for loss of traffic or rankings associated with third party SEO companies or software. While it is accepted that the methodology applied by Hydel Media Solutions is an effective one, Hydel Media Solutions does not hold any control over search engine rankings and therefore cannot guarantee any specific results. Furthermore, Hydel Media Solutions cannot dictate or predict changes in search engine practices that may cause loss of positioning.

CHARGES & PAYMENTS

Payment of your fee means you agree to these terms. Preferred payment methods include cash, cheques, direct deposit, email money transfer, money order, western union (local or international), stripe or Paypal. Payment Information will be provided on each invoice. We ask for a deposit of 50% in advance (non-refundable) before beginning any form of work towards your website. A second charge of 50% is required at the beginning of the development stage.

If paying by cheque or money order, payment must be received within two (2) weeks of account activation or the account will be suspended without notice. New accounts that remain past due thirty (30) days after account activation are subject to termination. Any account (old or new account) reaching thirty (30) days past due is subject to suspension for nonpayment. Such accounts are subject to termination after forty-five (45) days in a past due state. All invoicing and payments are automatic, and recurring based on the length specified by the client at the time of account setup or by request after setup has been completed.

Hosting and maintenance fees can be paid monthly or annually. Graphic design, social media and print media marketing are charged in full before design commences. For print media branding materials, all shipping fees are generally free unless otherwise noted at the time of shipment calculation. Shipping payment can be requested outside the time of the creation of the invoice, if it exceeds a certain amount estimated at the time of creating the invoice.

As a client of Hydel Media Solutions, it is your responsibility to ensure that your payment information is up-to-date, and that all invoices are paid on time. Hydel Media Solutions provides a 14-day grace period from the time the invoice is due until paid in full for that month. Any invoice that is overdue for 15 days and not paid can result in account suspension until account balance has been paid in full. 

SECURITY

The security of your Personal Information is important to us but remembers that no method of transmission over the Internet, or method of electronic storage, is 100% secure. While we strive to use commercially acceptable means to protect your Personal Information, we cannot guarantee its absolute security.

FAIR USE POLICY

We ask for our company credit in your website footer. We will place this in a subtitle position agreed with you during the design phase. We ask for this as we take pride in every website that we create and view each website as an advert of the quality that we can offer.

Should you wish to stop using our service entirely, we request 1 calendar months notice.

GOVERNING LAW

This contract will be governed exclusively by the laws of the Canada. This contract contains all the terms and conditions agreed upon by the parties. No other understanding, oral or otherwise, regarding the subject matter of this contract shall be deemed to exist or to bind any of the parties. All disputes arising under or out of this contract or in any way connected with this contract shall be referred to arbitration to be conducted by a Sole Arbitrator and to be governed under the provisions of the Arbitration and Conciliation Act.

ELECTRONIC COMMERCE LAWS 

The Client agrees that the client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the web design and development project or any other services contemplated herein, and will hold harmless, protect, and defend Hydel Media Solutions and its subcontractors (if any) from any claim, suit, penalty, tax, fine, or tariff arising from the client’s exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.
